Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "Customer") and Whispr AI, LLC ("Whispr AI", "we", "us", or "our"). By creating an account, subscribing to a plan, or using the Whispr AI platform in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Service.

1. Definitions

  • "Service" means the Whispr AI platform, including the dashboard, API, chat widget, agent inbox, AI chatbot engine, knowledge base tools, team messaging, and all related features.

  • "Organization" means a workspace you create within the Service that contains your chatbots, knowledge bases, team members, and conversations.

  • "Customer Content" means all data, documents, text, files, and materials you upload to or create within the Service, including knowledge base documents, chatbot configurations, and conversation history.

  • "Visitor" means an end user who interacts with your chatbot widget on your website.

  • "Subscription" means the paid or free plan associated with your account that determines your resource quotas, usage limits, and feature access.

2. Account Registration and Eligibility

To use the Service, you must create an account by providing a valid email address and password. You may also sign up using Google OAuth. You must be at least 18 years of age or the age of majority in your jurisdiction.

You are responsible for maintaining the confidentiality of your account credentials, including your password and any two-factor authentication (2FA) codes. You are responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

You may invite team members to your Organization via email. You are responsible for managing access to your Organization and for the actions of all users you invite.

3. Subscription Plans and Billing

3.1 Plans

Whispr AI offers four subscription tiers: Free, Starter, Professional, and Enterprise. Each plan defines resource quotas (organizations, team seats, chatbots, knowledge bases), usage limits (conversations per month, documents, storage), and feature access. 3.2 Free Trial

A 14-day free trial is available on the Starter plan. During the trial, you have full access to all Starter plan features. Each user may use the free trial only once. If you do not subscribe before the trial ends, your subscription becomes inactive and you will need to select a plan to continue using the Service.

3.3 Payment

All prices are stated in US Dollars (USD). Payments are processed securely through Stripe. We accept all major credit and debit cards. Paid plans are billed either monthly or annually. Annual billing provides a 20% discount compared to monthly billing.

3.4 Upgrades

You may upgrade your plan at any time. Upgrades take effect immediately. You will be charged a prorated amount for the remaining days in your current billing cycle.

3.5 Downgrades

You may downgrade your plan at any time. Downgrades are scheduled to take effect at the end of your current billing period. You retain access to your current plan's features until then. Before a downgrade can be processed, your current resource usage must fit within the new plan's limits.

3.6 Cancellation

You may cancel your subscription at any time. Your plan remains active with full access until the end of your current billing period. After the billing period ends, your subscription becomes inactive. Your data is preserved, but you will need to subscribe to a plan to regain access to the Service's features.

3.7 No Refunds

All subscription fees are billed in advance and are non-refundable. When you cancel, your plan remains active through the end of the current billing period, but no partial or prorated refunds are issued for unused time. This applies to both monthly and annual subscriptions.

3.8 Add-Ons

Paid plans support add-ons for additional team seats, knowledge bases, chatbots, and organizations. Add-ons are billed on a prorated basis when purchased mid-cycle. Credits for unused add-on time are applied to your next invoice when removed. Add-ons are not available on the Free plan.

3.9 Failed Payments

If a payment fails, we will notify you by email and automatically retry the charge. If payment is not resolved within the grace period, your subscription may be suspended. During suspension, you retain read-only access to your data but cannot create new resources or use premium features.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights.

  • Transmit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.

  • Distribute malware, spam, or phishing content through the chatbot or knowledge bases.

  • Attempt to reverse-engineer, decompile, or extract the source code of the Service.

  • Interfere with or disrupt the integrity or performance of the Service or its infrastructure.

  • Use the Service to build a competing product or service.

  • Circumvent usage limits, quotas, or feature gates through technical means.

  • Use disposable or fraudulent email addresses to create multiple accounts for the purpose of abusing free trials.

We reserve the right to suspend or terminate your account if we determine, at our sole discretion, that you have violated this policy.

5. Intellectual Property

5.1 Your Content

You retain all ownership rights in Customer Content you upload to the Service. By using the Service, you grant Whispr AI a limited, non-exclusive, worldwide license to process, store, and use your Customer Content solely to provide and improve the Service for you. Your knowledge base content is used only for your chatbots and is not shared with other customers or used to train external AI models.

5.2 Our Platform

The Service, including its design, code, features, documentation, and branding, is owned by Whispr AI, LLC and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets except as expressly permitted.

5.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

6. AI-Generated Content

The Service uses artificial intelligence to generate chatbot responses, document summaries, and agent suggestions (AI Copilot). AI-generated content is provided on an "as is" basis. While we strive for accuracy, AI outputs may contain errors, inaccuracies, or incomplete information.

You are responsible for reviewing AI-generated content before relying on it or presenting it to your customers. Whispr AI is not liable for decisions made based on AI-generated output. The AI Copilot feature is intended to assist human agents, not replace their judgment.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. Please review it carefully.

You are responsible for ensuring that your use of the Service complies with all applicable data protection and privacy laws in your jurisdiction, including obtaining any necessary consents from Visitors whose data is collected through the chat widget.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our reasonable control. We will make commercially reasonable efforts to notify you of planned downtime in advance.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WHISPR AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO WHISPR AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

11. Termination

Either party may terminate this agreement at any time. You may terminate by cancelling your subscription. To request permanent deletion of your account and associated data, contact our support team at support@trywhispr.com. We may terminate or suspend your access immediately and without notice if you breach these Terms.

Upon termination or cancellation, we retain your data for a period of thirty (30) days to allow you to export or recover your content. After this retention period, your Customer Content may be permanently deleted. Account and subscription records may be retained for a longer period for legal, audit, and compliance purposes.

12. Indemnification

You agree to indemnify, defend, and hold harmless Whispr AI, LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your Customer Content; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party rights.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on the Service at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

15. General Provisions

  • Entire Agreement. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Whispr AI regarding the Service.

  • Severability. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

  • Waiver. Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

  • Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.

  • No Agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Whispr AI.
